Terms of
Service.

Effective April 10, 2026 · Last updated October 26, 2026

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the BASIS platform, including the website at https://launchonbasis.com, all associated smart contracts on the blockchain network(s) the Platform is deployed on, the APIs, SDKs, and any related services (collectively, the “Platform”). The Platform is operated by Veilon AG, a company registered under Swiss law with registered office at Oberdorfstrasse 12, 8853 Lachen SZ, Switzerland (UID: CHE-258.053.888) (“we,” “us,” or “the Company”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that:

  • You meet the age requirement.
  • You are not located in, or a citizen or resident of, any jurisdiction where use of the Platform would be prohibited or restricted by applicable law.
  • You are not subject to any sanctions imposed by the United States, European Union, United Kingdom, United Nations, or Switzerland.
  • You have the legal capacity to enter into these Terms.

3. Nature of the Platform

BASIS is a decentralized finance (DeFi) platform providing access to token creation, trading, prediction markets, lending, staking, vesting, and community features. The Platform interacts with blockchain-based smart contracts. Some settings, such as fees within the caps set in the contracts, limits and pauses, can be changed by the operator, and the Platform may move to new contract versions. Expired loans are closed by keeper accounts.

Important:

  • Transactions on the Platform use real digital assets. You may lose some or all of the assets you use on the Platform.
  • Transactions are final once confirmed on the blockchain. The Company cannot reverse them.
  • Fees apply to trades, loans and other actions, as described in Section 10.

4. Wallet-Based Access

The Platform uses wallet-based authentication (Sign-In with Ethereum / SIWE). You are solely responsible for:

  • The security of your wallet, private keys, and seed phrases.
  • Any transactions initiated from your connected wallet.
  • Maintaining access to your wallet.

We do not have custody of, or access to, your private keys or wallet credentials. If you lose access to your wallet, we cannot recover your assets or account.

5. API Keys

The Platform offers API key access for programmatic interaction. We store API keys only as a one-way hash, so we cannot read or recover them; a lost key is replaced, not retrieved. Your keys are your responsibility to safeguard. You are liable for all activity conducted through your API keys. Do not share your API keys with unauthorized parties.

6. Platform Features & Risks

6.1 Token Creation & Trading

The Platform allows users to create and trade tokens in six families (Stable+, Utility+, Floor+, Meme+, Yolo+ and Yolo) and Predict+ tokens via automated market maker (AMM) mechanisms. Token prices are determined algorithmically by smart contracts. How a token's price and floor behave depends on its family, which is fixed when the token is created; Utility+, Floor+, Meme+ and Yolo+ tokens have a floor that only rises, and a Yolo token's floor stays at its launch price. Past performance of any token does not indicate future results.

6.2 Prediction Markets

Users may create and participate in prediction markets. A market's outcome is decided by the process built into the smart contracts. On public markets, anyone may propose a result after the market closes by posting a bond, and anyone else may challenge it. If a result is challenged, it goes to a vote, and after a veto the BASIS team makes the final ruling. On creator-managed markets, the market's creator and the voters the creator appoints decide the result. A market may also end as invalid. If a market is declared invalid, nobody wins. Each participant's shares are bought back at the average price paid for that answer. The bet fee is not refunded.

6.3 Lending & Leverage

The Platform offers lending and leverage features with no price-based liquidation. All loans are time-based. A loan that is not repaid or extended by its expiry may be liquidated: collateral covering the debt is taken to repay it, a liquidation fee of 10% of the remaining collateral is charged, and you may claim the rest. You may therefore receive less than your original position. Loan fees are charged up front. On a leveraged position, part of the loan fee is added to the debt instead. Closing a leveraged position in profit costs 3% of the profit. Leverage amplifies both gains and losses.

6.4 Staking

Staking places tokens in smart contracts. Staked tokens can be withdrawn at any time, except the part pledged to an open vault loan. While the staking vault is designed to generate yield from platform trading fees, returns are not guaranteed.

6.5 Smart Contract Risk

All Platform functions are executed by smart contracts on the blockchain network(s) the Platform is deployed on. Some of their settings can change (see Section 3), and they may contain undiscovered vulnerabilities. While our contracts are designed with security in mind, you acknowledge the inherent risk of interacting with smart contracts, including the potential for loss of funds.

7. Anti-Gaming & Fair Use

The Platform may use automated systems to detect and prevent manipulation and abuse, including coordinated activity across multiple wallets. Running multiple independent wallets is permitted.

Wallets flagged for manipulation or abuse may have access to off-chain Platform services (such as API keys and the Feed) restricted, suspended or terminated. An appeals process is available for unintentional violations.

8. Feed (Community Forum)

The Feed is a community forum integrated into the Platform. By using the Feed, you agree to:

  • Not post content that is illegal, threatening, defamatory, or violates the rights of others.
  • Not engage in spam, manipulation of votes, or coordinated inauthentic behavior.
  • Abide by content moderation policies, including blocked word lists and domain restrictions.
  • Accept that moderators may warn, mute, or ban accounts that violate community standards.

Content posted on the Feed is your responsibility. The Company may remove content at its discretion.

9. Gas Fees

Every transaction needs a gas fee, paid from your own wallet in ETH on Robinhood Chain. The Platform does not pay gas for you.

10. Fees

The Platform charges fees on certain transactions, including but not limited to:

  • Trading fees (a fee on each buy, sell and bet, shared between the main token's staking vault, the platform, referrers, a buyback and, where a token's creator has set them, the token's creator and its holders). You see the rate before you confirm.
  • Loan fees, charged up front: currently 2% origination plus 0.005% per day of the loan term. These are defaults set for each main token and may change.
  • Leverage fees: the trading fee and the loan fee on each buy of a leveraged position, and 3% of the profit when you close it in profit.
  • Prediction market fees: a fee on each bet and on each order-book fill.

Fee structures are defined in the smart contracts and may be updated through parameter changes or new deployments. Current fee details are available in the Platform documentation at https://launchonbasis.com/docs.

11. Intellectual Property

All content, code, designs, trademarks, and materials on the Platform are the property of Veilon AG or its licensors, unless otherwise stated. You may not copy, modify, distribute, or create derivative works from Platform materials without prior written consent.

The SDKs and MCP server are provided under their respective open-source licenses where applicable.

12. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose or in violation of applicable laws.
  • Attempt to exploit, hack, or disrupt the Platform or its smart contracts.
  • Use automated systems to manipulate markets, prices, or outcomes beyond normal SDK/API usage.
  • Impersonate other users, teams, or entities.
  • Circumvent anti-gaming measures or rate limits.
  • Use the Platform to launder money or finance terrorism.
  • Provide false information in any registration or verification process.

15. Indemnification

You agree to indemnify, defend, and hold harmless Veilon AG and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

17. Modifications to the Platform & Terms

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Platform at any time without prior notice.

  • Your continued use of the Platform after any changes constitutes acceptance of the updated Terms.

We will make reasonable efforts to notify users of material changes through the Platform or other communication channels.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of the Canton of Schwyz, Switzerland.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
